Clinic Participation + Clickwrap Requirements

These Clinic Terms apply to veterinary clinics and their staff (“Clinic”) who access PadsPass’s CheckPoint platform to review, confirm, or reject records associated with mutual clients. These Clinic Terms are a Service Module incorporated into the Master Terms.
PadsPass (or an authorized representative) may pre-fill an invitation or clinic profile using publicly available clinic information (e.g., clinic name, address, phone, general email, website) solely to expedite onboarding and to invite the Clinic to CheckPoint.
No Clinic personnel can access CheckPoint or any client records unless and until the Clinic accepts these Clinic Terms via clickwrap and is authenticated.
A Clinic must affirmatively accept these Clinic Terms by checking an “I agree” checkbox (or equivalent) and clicking an “Accept” button presented in a prominent, unavoidable manner (e.g., a lightbox/modal or full-page gate).
PadsPass may require re-acceptance on first login, after material updates, and periodically (e.g., annually) or upon first access after a period of inactivity. Acceptance events are logged with timestamp and version.
Clinic’s role is limited to confirming whether the records presented appear to be authentic clinic-generated records for the identified client/pet, or rejecting them with reason. Clinic remains responsible for its professional obligations and recordkeeping. PadsPass does not practice veterinary medicine and does not direct medical decisions.
PadsPass does not guarantee clinic workflow response times by any clinic user; support targets apply only to PadsPass support.
If enabled, Clinics may upload or provide records through CheckPoint. Clinics must ensure they have lawful authority and appropriate client consent to share records. Clinics should not upload unrelated third-party records. PadsPass will use reasonable security measures, but Clinics remain responsible for ensuring their own systems and personnel comply with confidentiality and privacy obligations.
Each Party may receive Confidential Information. Clinics must not reverse engineer, test for vulnerabilities, benchmark, or use the platform to build competing services. Clinics must keep login credentials secure and limit access to authorized personnel only.
Clinics acknowledge that veterinary regulatory rules may restrict fee-splitting, commissions, or referral arrangements. PadsPass does not pay Clinics for client referrals unless documented in a separate, compliant agreement.
