For Partners, Agencies, and Other Business Users

These B2B Partner Terms apply to business entities that integrate with or access PadsPass services as partners (“Partner”). These Terms are incorporated by reference into the Master Terms and control for Partner-specific topics.
Partner may receive access to PadsPass partner portals, APIs, integrations, or co-branded workflows subject to an order form or statement of work (“SOW”).
Each Party may disclose Confidential Information. Each Party will protect the other’s Confidential Information with reasonable care and use it only for the permitted purpose under the SOW.
PadsPass retains all rights in its platform and services. Partner retains all rights in its own materials. Feedback may be used by PadsPass to improve the Services without obligation, provided we do not disclose Partner Confidential Information.
If Partner provides personal data to PadsPass, the Parties will enter into an appropriate data processing addendum where required (e.g., GDPR/UK GDPR).
Limitations of liability and disclaimers follow the Master Terms, modified as necessary by any SOW. Governing law is Delaware unless the SOW states otherwise.
